Please read these Terms of Service carefully before purchasing or using any services offered by Prepworks Education ("Prepworks," "we," "us," or "our"). By accessing our website, purchasing a service, or booking a consultation, you ("Client," "Student," or "you") agree to be bound by these Terms in their entirety. If you do not agree, do not use our services.

1. About Prepworks

Prepworks Education is a general partnership organized under the laws of the State of New York, formally established as of July 1, 2025. We provide college application strategy, essay review, supplemental essay editing, one-on-one consulting, and related educational services to students and families. Prepworks operates at prepworkseducation.org, prepworksbeta.org, and through associated social media and online platforms, including our YouTube channel.

Prepworks Education is a partnership among multiple Partners. Clients acknowledge that they are contracting with Prepworks Education as a business entity, not with any individual Partner in their personal capacity. No individual Partner is personally liable for the obligations of the Partnership beyond their interest in Partnership assets, except as otherwise required by New York law and the terms found within Prepworks' General Partnership Agreement.

2. Acceptance of Terms

By purchasing, booking, or using any Prepworks service — including but not limited to strategy calls, personal statement reviews, full application reviews, and supplemental essay editing — you acknowledge that you have read, understood, and agree to these Terms of Service, our Privacy Policy, and our Refund and Rescheduling Policy.

If you are under the age of 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf prior to purchase or use. Parents and guardians who purchase services on behalf of a minor student are jointly and severally bound by these Terms and are responsible for the minor's compliance with them.

3. Nature of Services

3.1 Educational and Advisory Services Only

All services provided by Prepworks are strictly educational and advisory in nature. We provide strategic guidance, feedback, and consulting based on our experience and expertise in college admissions.

Prepworks does not write, author, ghostwrite, or generate any application materials on behalf of students. No essay, personal statement, supplement, activity description, or any other application component will be drafted in its entirety or fully produced by Prepworks for submission under a student's name. All feedback, suggested edits, and strategic recommendations are intended to help you improve your own writing and application strategy. The final product is yours and yours alone.

3.2 Use of Tools and Technology

Prepworks may use technology tools as part of our internal review and feedback processes. Any such use is supplementary to the professional judgment and expertise of our consultants. Prepworks does not use artificial intelligence (A.I.) or any automated tool to generate, draft, or produce application materials on behalf of students.

3.3 No Guarantee of Admission

Prepworks does not guarantee admission to any college, university, or academic program. College admissions decisions are made solely by the institutions to which students apply and are influenced by factors entirely outside our control, including but not limited to institutional priorities, enrollment caps, demographic considerations, yield management, legacy preferences, and annually changing admission criteria.

Any statements about outcomes, historical results, or student success shared by Prepworks on our website, YouTube channel, or any other platform are provided for informational and illustrative purposes only and do not constitute a representation, warranty, or guarantee of any individual result.

3.4 No Legal, Financial, or Therapeutic Advice

Nothing provided by Prepworks constitutes legal, financial, psychological, or therapeutic advice. Students and families should consult qualified professionals for advice in those domains.

3.5 Service Providers

Services may be rendered by the Partners of Prepworks Education or by independent contractors engaged by the Partnership. All service providers are bound by confidentiality obligations. Nothing in these Terms creates an employment relationship between you and any individual Partner or contractor.

4. Scope of Services and Deliverables

4.1 Service Descriptions

The specific scope of each service or package (including number of revisions, turnaround times, and included deliverables) is described at the time of purchase on our website or in a written service summary provided to you. Prepworks reserves the right to clarify or adjust service descriptions where ambiguity exists, provided that any material change to a service you have already purchased will be communicated to you in writing.

4.2 Timelines and Delivery

Written deliverables (such as essay feedback and edits) will be delivered within the timeframe specified at the time of purchase. Timelines are estimates and may be affected by volume, holidays, and other circumstances. Prepworks will notify you of any significant delays.

4.3 Client Responsibilities

You are responsible for providing accurate, complete, and timely information necessary for us to deliver the services you have purchased. You are also responsible for submitting drafts, materials, and responses within any agreed timeframes, reviewing all feedback and using your independent judgment in deciding how to incorporate it, and ensuring that all application materials you submit to colleges and universities are accurate, truthful, and represent your own work.

Prepworks is not responsible for delays, incomplete deliverables, or service limitations caused by your failure to provide required information or materials within agreed timeframes.

5. Prohibited Uses

You agree not to use Prepworks services or materials to submit work to a college or university in violation of that institution's academic integrity or honor code policies; reproduce, resell, sublicense, share, or distribute Prepworks materials, feedback, or proprietary content without express written permission; misrepresent the authorship of any college application materials; engage in any fraudulent, deceptive, or unlawful conduct in connection with the college admissions process; record, distribute, or share the content of any consulting call without the prior written consent of all participants; or use Prepworks materials, frameworks, or methodologies to provide competing consulting or advising services.

Prepworks explicitly disclaims any responsibility for how students ultimately use feedback, edits, or strategic advice provided during our services. The student remains solely responsible for the content, accuracy, truthfulness, and integrity of all application materials submitted to any institution.

6. Payment Terms

All services must be paid in full at the time of purchase unless otherwise agreed in writing. Prices are listed in U.S. dollars. Prepworks reserves the right to change pricing at any time; however, price changes will not affect services already purchased and paid for.

By completing a purchase, you authorize Prepworks to charge the payment method provided for the full amount of the selected service. All payments are processed through third-party payment processors. By completing a purchase, you also agree to the applicable terms of those processors.

In the event that a payment is disputed, reversed, or charged back without valid cause, Prepworks reserves the right to pursue recovery of the amount owed, including any fees incurred as a result of the dispute, to the extent permitted by applicable law.

7. Refund and Rescheduling Policy

Please review our full Refund and Rescheduling Policy, which is incorporated herein by reference. Key terms include: all sales are final with no refunds issued for any purchased service, package, or digital product under any circumstances; consulting calls may be rescheduled with at least 72 hours (3 full calendar days) advance written notice; and calls cancelled or rescheduled with less than 72 hours notice, and no-shows, will be forfeited without refund, credit, or replacement.

By purchasing a service, you acknowledge and accept these terms in full. The complete Refund and Rescheduling Policy is available on our website and governs in the event of any inconsistency with this summary.

8. Intellectual Property

8.1 Prepworks Content

All content produced by Prepworks Education — including but not limited to videos, written materials, course content, tools, branding, editorial frameworks, proprietary methodologies, and website content — is the intellectual property of Prepworks Education as a partnership and is protected by applicable copyright and trademark laws.

You may not reproduce, distribute, create derivative works from, or commercially exploit any Prepworks content without express written permission from Prepworks Education.

​

8.2 Your Materials

Your essay drafts and personal application materials remain your intellectual property. By submitting materials to Prepworks for review, you grant Prepworks a limited, non-exclusive, revocable license to access, review, and annotate those materials solely for the purpose of delivering the services you have purchased. This license may be terminated upon your written request for deletion of materials, subject to any legal retention obligations.

8.3 Feedback and Edits

Feedback and editorial suggestions provided by Prepworks are for your personal educational use only. You may not share, publish, distribute, or resell our editorial feedback without written consent.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Prepworks Education and its Partners, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or related to your use of our services or these Terms, including but not limited to denial of admission to any college, university, or academic program; errors, omissions, or inaccuracies in feedback, edits, or strategy advice; loss of opportunity, loss of anticipated benefit, or any other economic loss; any reliance on information provided through our services, website, or YouTube channel; failure to meet any college application deadline; any act or omission of a third-party payment processor, scheduling platform, or other third-party service provider; and technical failures, outages, or errors affecting our website, tools, or communication platforms.

Our total aggregate liability to you for any and all claims arising out of or related to these Terms or our services shall not exceed the total amount you paid to Prepworks for the specific service giving rise to the claim in the three (3) months preceding the event giving rise to the claim.

​

This limitation of liability applies regardless of the legal theory asserted (contract, tort, negligence, strict liability, or otherwise) and even if Prepworks has been advised of the possibility of such damages.

​

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain types of damages. If you reside in such a jurisdiction, some of the above limitations may not apply to you, and your rights may vary accordingly.

10. Disclaimer of Warranties

Prepworks services are provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our services will meet your expectations or produce any specific outcome; that any feedback or strategy will result in improved application outcomes or college admission; that our website or tools will be uninterrupted, error-free, or free of viruses or other harmful components; or that any information provided through our services is complete, accurate, or current with respect to any particular institution's admissions process.

11. Indemnification

You agree to indemnify, defend, and hold harmless Prepworks Education and its Partners, employees, contractors, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of, or inability to use, our services; your violation of these Terms or any applicable law or regulation; your violation of the rights of any third party; the content, accuracy, truthfulness, or integrity of any application materials you submit to any college, university, or institution; any claim by a college or university related to your application materials or admissions conduct; or any misrepresentation you make in connection with your application or our services.

12. Confidentiality

You agree to keep confidential any non-public information shared by Prepworks during the course of services, including proprietary frameworks, editorial methodologies, pricing structures, and internal business information. Likewise, Prepworks will treat your submitted materials and personal application information as confidential, consistent with our Privacy Policy.

13. Force Majeure

Prepworks shall not be liable for any delay or failure to perform its obligations under these Terms resulting from causes beyond its reasonable control, including but not limited to natural disasters, pandemics, government actions, internet or technology failures, power outages, labor disputes, or other events of force majeure. In such events, Prepworks will make reasonable efforts to resume services as soon as practicable and will communicate with affected clients regarding revised timelines.

14. Dispute Resolution

14.1 Informal Resolution

In the event of a dispute arising from or related to these Terms or our services, you agree to first contact Prepworks in writing at hello@prepworkseducation.org and allow ninety (90) days for us to attempt resolution in good faith before pursuing any formal legal action.

14.2 Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in New York, and you hereby consent to the personal jurisdiction and venue of such courts.

14.3 Waiver of Class Action

To the maximum extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not as part of a class, consolidated, or representative action.

15. Modifications to Terms

Prepworks reserves the right to update or modify these Terms at any time. Changes will be effective upon posting to our website with an updated effective date. Continued use of our services after any modification constitutes your acceptance of the revised Terms. If changes are material, we will make reasonable efforts to notify affected clients via email or a prominent notice on our website.

16. Severability and Entire Agreement

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. These Terms, together with our Privacy Policy and Refund and Rescheduling Policy, constitute the entire agreement between you and Prepworks Education with respect to your use of our services and supersede all prior agreements or understandings, whether oral or written.

17. Electronic Communications and Consent

By using our services, you consent to receive communications from Prepworks electronically, including via email and through notices posted on our website. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
